NICHOL YEO

Director, Counsel

Since his early days of practice, Nichol has been involved in high-profile and complex cases. Recognised as one of LexisNexis® 40 UNDER 40 2023 and described as “sharp and attentive” (Legal 500, 2018 ed), Nichol is regularly briefed by clients and counsel to take on trials and argue urgent and critical applications. Nichol has also carved a niche in managing crises and special projects, working with both local and foreign counsel.

Nichol has built a loyal following of clients with his forthright and pragmatic advice. He is regularly involved in shareholder disputes, complex company disputes, and high-value trust disputes.

QUA BI QI

Counsel

Equally comfortable in the role of lead counsel and assisting counsel. Together with her team, Bi Qi regularly in the High Court and the State Courts. She is comfortable with trial work and highly contested applications as lead counsel and has amassed a substantial number of reported judgments in the High Court touching on trusts law, insolvency law and company law.

In addition to her oral advocacy, Bi Qi’s polished written advocacy consistently produces persuasive written arguments for the Court and mediation chambers.

Zhang Jun’s practice is focused on high-value civil litigation, insolvency and trusts. He has advised and represented Mainboard and Catalaist companies in both local and cross-border litigation, internal and special audits, breaches of listing rules and statutory duties, including directors’ duties.

With a keen eye for detail, Zhang Jun is trusted by his clients and colleagues to deliver pragmatic legal solutions to complex factual and legal issues. He graduated magna cum laude from SMU, where he was twice placed on the Dean’s List with numerous prizes in commercial conflict of laws, corporate insolvency law, insurance law, and constitutional and administrative law.

Nicholas is experienced in civil disputes, involving employment, insolvency, defamation, and property law. He regularly takes on complex matrimonial disputes and urgent applications against harassment actions. Nicholas is also briefed on criminal and regulatory defence work.

Nicholas is apt in both oral and written advocacy and consistently delivers incisive arguments in Court. Nicholas also takes on advisory work for MNCs, SMEs and listed companies.

Notable Cases

Catalist ListCo – Hostile EGM

Successfully acted for a group of minority shareholders to convene an EGM of a Catalist ListCo under section 177 of the Companies Act. Worked alongside counsel for other groups of shareholders in resisting an application for an injunction to restrain the convening of the EGM and allegations of deficiencies in the convening of the intended EGM whilst dealing with restrictions of SGX-imposed Notices of Compliances. Ultimately convened the intended EGM to pass resolutions to remove and appoint directors for control over the ListCo.

Estate Defending Claims of Resulting & Common Intention Constructive Trusts

Took on instructions on an urgent basis and at short notice to represent the estate of a deceased, in resisting claims of resulting and common intention constructive trusts. Successfully defended all claims for significant stakes in a high-value commercial property purchased by the deceased, to deny the claimants any beneficial interest in the property.

Mainboard ListCo – Striking Out ‘Golden Parachute’ Claims

Represented a Mainboard ListCo in defending claims brought by one of its ex-executive directors. Successfully raised and argued a novel point of law, on the operation of section 168 of the Companies Act barring ‘golden parachute’ payments. This led to the removal and reduction of a substantial quantum of the plaintiff’s claim.

Worldwide Mareva Injunction to Aid Setting Aside of Gifts

Successfully obtained a worldwide Mareva injunction against a defendant who obtained gifts and transfers of more than S$ 8 million, to freeze assets in Singapore and Malaysia. Worked with instructed counsel and professional experts at trial, on questions of resulting and constructive trusts, mental capacity, and authenticity of signatures.

Anti-Suit Injunction Leading to Discontinuance of Singapore Litigation

Represented a Catalist ListCo involved in litigation in multiple jurisdictions involving (amongst others) conspiracy claims. Successfully applied for and obtained an anti-suit injunction in Singapore. This led to the discontinuance of the Singapore litigation and a positive award of costs.

Estate Seeking Recovery and Account of Assets

Represented the estate of a deceased mother in high-value litigation involving claims founded on express trust, resulting trust and common intention constructive trust, to seek an account of the deceased’s assets from the deceased’s children, and to recover these assets for the estate.
